1. About Verdform

Verdform is a factory-direct manufacturer of artificial botanical products, operating from Yiwu, Zhejiang, China. We serve B2B customers including hotels, restaurants, designers, retailers, distributors, and event companies worldwide.

2. Eligibility

You must be at least 18 years of age and have legal authority to enter into binding contracts to use our Site or place orders. By using the Site, you represent that you meet these requirements.

3. Products & Pricing

Product descriptions, dimensions, and images on our Site are provided for reference. Minor variations in color, leaf count, or finish are normal for artificial botanicals and do not constitute defects.

Prices shown are retail reference prices in U.S. dollars (USD). Wholesale buyers receive tiered pricing based on order volume, quoted separately. Prices exclude shipping, duties, taxes, and any applicable customs fees, which are the buyer’s responsibility unless otherwise agreed in writing.

We reserve the right to change prices, modify or discontinue products without prior notice. We are not liable for price typos or display errors; orders affected by such errors may be cancelled or repriced before fulfillment.

4. Orders & Quotes

Submitting an inquiry or placing an order does not create a binding contract until we confirm acceptance in writing (typically via email confirmation with quote details, lead time, and payment terms). We may decline or cancel any order at our discretion.

Standard B2B order process: inquiry → quote → sample (optional) → deposit → production → balance payment → shipping.

5. Payment Terms

Accepted payment methods include bank transfer (T/T), PayPal, and Western Union for sample orders. Bulk orders typically follow 30% deposit / 70% balance terms via T/T. Letter of Credit (L/C) is available for orders above USD 30,000.

All payments are in U.S. dollars (USD) unless otherwise agreed. Buyer is responsible for any bank fees, currency conversion costs, or international transfer charges.

6. Production & Lead Time

Lead times are estimated and confirmed in your quote. Typical ranges:

• In-stock SKUs: 7–14 days
• Custom production (OEM/ODM): 25–35 days
• Large or complex orders: 40–50 days

Lead times begin upon receipt of deposit and approval of any sample or production specification. Force majeure events (natural disasters, port closures, government actions) may extend lead times.

7. Shipping & Delivery

Goods ship from our facility in Yiwu, China. Shipping methods include sea freight (FCL/LCL via Ningbo or Shanghai port), air freight (via Hangzhou or Shanghai airports), and international express (DHL, FedEx, UPS) from Yiwu.

Risk of loss passes to the buyer based on the agreed Incoterm (EXW, FOB, CIF, or DDP). Unless DDP is agreed, the buyer is responsible for destination duties, taxes, and customs clearance.

8. Inspection & Acceptance

Every order is inspected and photographed before dispatch. Buyer should inspect goods upon receipt and notify us of any visible damage, shortage, or defect within 7 days of delivery, with supporting photos. See our Refund & Return Policy.

9. Intellectual Property

All content on this Site — including product photos, copy, brand names, logos, and design — is the property of Verdform or its licensors. You may not reproduce, distribute, or use any content for commercial purposes without our written permission.

For OEM/private-label orders, IP ownership of customer-supplied designs remains with the customer. Verdform retains rights to its standard production methods, materials, and tooling.

10. Limitation of Liability

To the maximum extent permitted by law, Verdform’s total liability for any claim arising out of an order is limited to the amount paid by the buyer for the specific product or order in question. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.

11. Warranties

We warrant that products will be free from material manufacturing defects for 12 months from delivery. UV-treated outdoor-grade products carry a 15-year color guarantee subject to specified usage conditions. Warranty does not cover damage from misuse, improper installation, fire, water, or normal wear and tear.

12. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, pandemic, government actions, labor disputes, port strikes, or shipping carrier disruptions.

13. Governing Law & Disputes

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles. Disputes shall be resolved through good-faith negotiation; failing that, by binding arbitration in Yiwu, China, or by courts of competent jurisdiction in Yiwu.

14. Changes to These Terms

We may update these Terms from time to time. The “Effective date” above reflects the most recent revision. Continued use of the Site after changes constitutes acceptance.
